Company Formation and Registration FAQ

Q. How long does it take to have a  company registered

A. At the moment it takes 2 to 10 working days, depending on whether one goes for the fast track option or the normal duration. With the fast track option it takes 2 to 5 days. Fast track is only possible if you chose one of our names.

Q. What do I need to bring to start the company registration process.

A. We need the full names, identity numbers and physical addresses of the proposed directors, shareholders and secretaries, the proposed name of the company and the payment.

Q. How much does it cost to register a company ?

A.  It depends on whether you want the normal duration or you want the fast track.  The cost for normal duration for a Private Limited Company is $250.00 and for a PBC is $120. If you want fast track (2 to 5 days) the cost will be $300.00 for a Private Limited company and $150.00 for a PBC.

Q. What are the advantages of registering a company as a PBC as opposed to a  Private Limited company.

A. The advantages are in the cost, it  is cheaper to register a PBC and it is also cheaper to maintain a PBC.

Q. What are the disadvantages of a PBC?

A. A PBC can only have a maximum of 20 members and this form of ownership is relatively new to most people and so, on the grounds of ignorance one may have some people getting reluctant to deal with a PBC.

Q. Where are we physically located ?

A. We are located at 23 New Africa House , 40 Kwame Nkrumah Avenue, between Julius Nyerere and Leopold Takawira. This is the building next to Homegate and opposite AMC  Motors. We are located in the second floor of the building a floor above the New Start Centre.

Q. What documents do I receive after registration of a company.

A. For a Private Limited Company you will receive the Certificate of Incorporation, Memorandum and Articles of Association, CR14 Register of Directors and Secretaries,  CR6 Company Registered address, and a ZIMRA Tax Clearance Certificate to open a bank account. For a PBC you will receive the PBC 1(Incorporation Statement) and ZIMRA Tax Clearance Certificate to open a bank account.

Q. What other Services do you offer?

A. As Certified Company Secretaries we deal with all aspects of company administration , including  preparation of annual returns, changes of Directors and Secretaries, changes of Company names, Special Resolutions, Share Transfers etc. We are also Certified Public Accountants, which means we do all accounting work, ranging from preparation of Final Financial Statements, Tax computations and Tax Returns etc.
